Cutting staff to growth profit works on the short term, and may even please the shareholder, but in the long term reduces employee confidence in supervision about job security, as well as decreasing the output and productivity for that business.

Secondly, outsourcing enterprise activities (especially core enterprise activities) conduce to the loss of identity for the business, both in terms of its image and its operation. In most cases, not sufficient is done on the part of the owners to modify enterprise activities, from a service provider to a service broker, therefore both the quality and accountability for their service decrease. This has certain implications on the image and reputation of the business.

The point is, cut cost, but don't cut value from your business. There are easy gains in the short term, but the ledger will be balance by much more painful losses in the long term.

Eight Deadly Sins of Mergers and Acquisitions

Global mergers and acquisitions advisers, especially, the speculation bankers are doing very well consummating trillions of dollars in deals as a follow of cheap debts, ambitious company executives and desire for expansion (Financial Times [Ft], 12/21/2006). 1. Assuming that All Partners are Equal. "Mergers of Equals" is a myth. Person needs to be in fee to decide deadlocks which can be impossible to do in a 50-50 partnership where it is not clear who is in charge.

2. Using a One-Size-Fits-All arrival for Each company Unit. Each new company unit has their unique cultures. Marrying the culture of the new society into the acquirer's culture should be thoughtfully done.

3. Managing Organizational convert Without Leading. This is what Jack and Susan Welch refer to as "taking bold steps with the integration". The acquiring company is advised to strike the iron while it is hot--complete the integration process within 3 months of the acquisition while the participants are still excited and motivated about the new opportunity.

4. Paying Too Much attention to Cost Savings as the original Strategic Opportunity. Don't be too desperate for the acquisition to fall into what Jack Welch calls a "reverse hostage" situation.

5. Expecting to realize Most Benefits by the End of the First Year. This goal will be harder to perform if the acquirer pays too much for the merger (i.e., 20% or 30% above the store price--Jack Welch).

6. Believing that the society Cannot be Stabilized until all the Facts are Known. This reliance may lead to what Jack Welch calls the conqueror syndrome", a situation in where the acquirer installs their own people in all significant positions. This defeats the original objective of the merger, which is to fill a strategic void. management needs to realize that if their people have the expertise to grow the company to fill the strategic void, may be they don't need the acquisition.

7. Declaring Victory Prematurely and Failing to Track Promised Organizational Changes.

8. Not inspecting the Impact of buyer Reactions to the Merger. In a study sponsored by company Week and conducted by the University of Michigan and Thomson Financial Corporation on American buyer delight Index, found that 50% of consumers narrative that they are less satisfied two years after a merger. "It can take years for associates to convert customers' feelings and stop any losses" (Emily Thornton, company Week, December 6, 2004, pp. 58-63).

Conclusion: whether hostile or friendly, company executives and shareowners should seriously think the impact of Pmi on M&As. The Sarbanes-Oxley Act that demands more disclosures on the execution of the board of directors and company executives of collective associates may help address some corporate governance issues, but until the stakeholders address the eight classic mistakes described above, we will continue to experience significant failures in M&A activities. As stated earlier, those promoting M&As are doing very well financially, but for the sake of the customers, employees, and other stakeholders, the executives need to spend more resources to avoid the eight deadly sins to ensure the success of post merger integration.

There are many varieties of entrepreneurs: those who become a franchisee, those who start a pro service firm, those who open a sell outlet, and on and on. However, my world revolves colse to those I label the company-formation entrepreneurs. They have a Big idea and want to generate a successful firm colse to it - most of the time to sell it for a bundle of cash.

To reach this objective they approximately always need covering funding, and the estimate can be well into seven or even eight figures. So my company-formation entrepreneurs have to understand the 'art of the ask'. Although it has progressed from the "Buddy can you spare a dime?" quote of the Great Depression, you're still request for cash. This is not to say that filling a 'want' isn't a good thing, But it entails a much harder and longer sales cycle, and your firm may never be able to improve far adequate to clarify investor funding.

3. Are you prepared to take a leap of faith? Remember the scene in Indiana Jones and the Last hunt where he has to step into space - take a leap of faith? Well, you have to be prepared to do the same with your life and finances. You have to organize your firm to a point where you have created a stock that of course does something and is being used by someone.

Investors commonly will not fund what they label amelioration (or technical) risk, meaning money to generate something usable. While they don't expect you to have a fully featured product, they want to see you had the fortitude to find a way to generate an introductory version of your grand idea. whether you drain your savings, mortgage your home, max out your prestige cards and/or convince your friends & house to believe in you with funding, you must get to this point before approaching an investor.

4. Can your team go all the way? This relates back to my first point about the jockey, but you also need to have a competent, and hopefully, experienced administration team. Investors don't expect your team to be fully fleshed out, although you Do get bonus points if it is. However, they will look for habitancy with entrepreneurial success, manufactures touch and proper skills. For example, if your attempt involves an comprehension of Fortune 100 finance, you good have a top-flight Cfo on the team.

So you have to plan an Exit Strategy - who will buy us, when will it happen and how much will we make.

You must understand that investors commonly don't share your passion for the product. They are looking at two basic points - how much money will I make, and when will I get it? Further, investors are looking for a minimum 10x return - if they invest a million dollars they expect to take out at least ten million dollars (and hopefully more) within about five years (or less).

If your opportunity meets (or comes close to) the criteria of these nine points, you have something investors will consider. With the hundreds of possible deals flowing straight through any Vc firm, they are extremely judicious about which ones get into the 'under consideration' status. Realistically, it's well under 10% of everything that comes in front of them.

VoIp and Direct Inward Dialing (Did)

Home phone set ups are wholly distinct from those found in a business. Of course, there's nothing which says we can't use the same setup, but due to the way a business functions we can make many components more efficient. One of these components is the corporal line that comes into the office. With home phones, we need a separate line for each new telephone and telephone estimate in the house. Strictly speaking, you don't need Did in order to make a telephone call - only to receive it. But users won't know who's calling if you call them directly from your VoIp phone without an related estimate and that might put habitancy off.
